This web site (the "Site") is made available for your use by Institutional Risk Analytics, a unit of Lord, Whalen LLC (“IRA”) subject to the terms and conditions of this agreement (the "Agreement"). The information provided on this Site is provided by IRA and its third party suppliers ("Information Providers"). BY CONTINUING TO USE THE SITE, YOU ARE INDICATING YOUR AGREEMENT TO BE BOUND BY THE TERMS OF THIS AGREEMENT. IF YOU DO NOT AGREE TO BE SO BOUND, IRA IS NOT WILLING TO PROVIDE YOU WITH ACCESS TO THE SITE AND YOU SHOULD IMMEDIATELY DISCONTINUE YOUR USE OF THE SITE. IRA may modify this Agreement from time to time in its sole discretion. Your continued use of the Site shall constitute acceptance of such modifications.

Data provided on this Site may be delayed as specified by regulatory agencies, financial exchanges or Information Providers. IRA and Information Providers furnish the information available on this Site without responsibility for accuracy and you agree that errors contained in such information shall not be made the basis for any claim, demand or cause of action against IRA or any Information Provider. IRA believes that its data and analytical tools are accurate and reliable, but such accuracy and reliability is not warranted or guaranteed. The Site includes facts, views, opinions and recommendations of individuals and organizations deemed of interest. Neither IRA nor Information Providers guarantees the accuracy, completeness or timeliness of, or otherwise endorses, these views, opinions or recommendations. IRA does not give investment advice or advocate the purchase or sale of any security or investment.

You agree not to reproduce, retransmit, disseminate, sell, distribute, publish, broadcast, circulate or commercially exploit the information available on this Site in any manner without the express written consent of IRA, nor to use the information available on this Site for any unlawful purpose. YOU AGREE NOT TO REVERSE ENGINEER OR IMITATE FOR COMMERCIAL PURPOSES, DIRECTLY OR VIA THIRD PARTIES, ANY PROGRAMS, PROBLEM SOLVING APPROACHES, FRAMEWORKS, TOOLS OR INFORMATION PROVIDED ON THE SITE.

You agree that irreparable loss and damage will be suffered by IRA should you breach any of its obligations under this Agreement. Therefore, you agree and consent that, in addition to all the remedies provided at law or in equity, IRA shall be entitled to a temporary restraining order and temporary and permanent injunctions to prevent a breach or contemplated breach of any of your obligations hereunder. While you will retain the absolute right to pursue any claim, demand, action or cause of action that you may have against IRA, the existence of any claim, demand, action or cause of action by you against IRA shall not constitute a defense to the enforcement by IRA of any of your obligations under this Agreement.

You agree to access the information available on this Site manually by request and not programmatically by macro or other automated means. IRA may point to other sites that may of be of interest to you but for which IRA has no responsibility.

IRA AND INFORMATION PROVIDERS EXPRESSLY DISCLAIM ALL WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WITHOUT LIMITATION ANY WARRANTY OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE OR NON-INFRINGEMENT. NEITHER IRA NOR ANY OF ITS INFORMATION PROVIDERS, PARENTS, MEMBERS, SUBSIDIARIES, AFFILIATES, SERVICE PROVIDERS, LICENSORS, OFFICERS, DIRECTORS OR EMPLOYEES SHALL BE LIABLE FOR ANY DIRECT, INDIRECT, INCIDENTAL, SPECIAL OR CONSEQUENTIAL DAMAGES ARISING OUT OF OR RELATING TO THIS AGREEMENT OR RESULTING FROM THE USE OR THE INABILITY TO USE THE SITE, INCLUDING BUT NOT LIMITED TO DAMAGES FOR LOSS OF PROFITS, USE, DATA OR OTHER INTANGIBLE DAMAGES, EVEN IF SUCH PARTY HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

The laws of the State of California, excluding that body of law controlling conflicts of law, will govern all disputes arising out of or relating to this Agreement.
